The BlueWing Consulting Internet Services and Web Site go under the name of BlueWing Local Marketing and comprises various Web pages operated by BlueWing Consulting CC and BlueWing Local Marketing. By Internet Services is meant any product, service or content supplied by BlueWing Local Marketing or its appointed partners or 3rd party suppliers.

BlueWing Local Marketing offers you their Internet Services and Website conditional on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the BlueWing Internet Services and Website forms your agreement to all such terms, conditions, and notices.

• Download any file posted by another user of a Communication Service that you know, or should know, cannot be legally distributed in such a manner.
• Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
• Restrict or inhibit any other user from using and enjoying the Communication Services.
• Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
• Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
• Violate any applicable laws or regulations.

BlueWing Local Marketing has no obligation to monitor the Communication Services. But BlueWing Local Marketing reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. BlueWing Local Marketing reserves the right to stop your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

BlueWing Local Marketing always reserves the right to disclose any information as necessary to please any applicable law, regulation, legal process or governmental request or to edit, refuse to post or to remove any information or materials, in whole or in part, in BlueWing Local Marketing’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. MATERIALS PROVIDED TO BlueWing Local Marketing OR POSTED AT ANY BlueWing Internet Services and Website

BlueWing Local Marketing does not claim ownership of the materials you provide to BlueWing Local Marketing (including feedback and suggestions) or post, upload, input or submit to any BlueWing Internet Services and Website or its associated services (“Submissions”). We will pay no compensation concerning the use of your Submission as provided herein. BlueWing Local Marketing is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in BlueWing Local Marketing’s sole discretion.

By posting, uploading, inputting, providing or submitting your Submission, you warrant and represent that you own or otherwise control the rights to your Submission as described in this section, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

GENERAL AGREEMENT TERMS

The MARKETER agrees to provide digital marketing PRODUCTS and SERVICES (hereinafter referred to as the “SERVICES”) to the CLIENT. As a professional MARKETER, we know that digital marketing is a complex and multifaceted field that requires a comprehensive approach to achieve the desired results. We offer a range of products and services that can be tailored to meet your specific requirements. We will work with you to develop a customized digital marketing strategy that will help you achieve your business objectives.
It is important to note that the application of different products and services in the package that you have purchased from us is at our sole discretion. MARKETER has the expertise and experience to determine the best approach for CLIENTS business based on your goals, budget, and target audience, based on the product or service package purchased from us.
We are committed to providing you with the highest level of service and support. If you have any questions or concerns about your digital marketing campaign, please do not hesitate to contact the MARKETER.

The MARKETER makes no guarantee of results. While we will use our best efforts to obtain great results for you, there are many external factors beyond our control that can affect the CLIENT’s marketing campaign.
These factors include, but are not limited to: The competitive landscape, The economic climate, Changes in consumer behaviour, Technological advancements, Natural disasters. If any of these factors occur, they may have a negative impact on the CLIENT’s marketing campaign and may prevent the MARKETER from achieving the results that we have agreed upon.
If any of these factors occur, The MARKETER will not be liable for any damage that the CLIENT may suffer.

PAYMENT AND FEES: The PARTIES agree to the following payment and fees terms:
Services: The PRODUCTS AND SERVICES cost per month must be paid in advance before the 1st of each month. This agreement shall be effective on the date of signing this agreement (hereinafter referred to as the “Effective Date”).
Notice Period: The CLIENT agrees to give one months’ notice in advance to end a monthly contract. It will end after 30 days of the CLIENT haven giving notice of termination to the MARKETER.
Payment date: Payment not received before the end of the first business week of the month may result in the cessation of posting and any other marketing work being undertaken for the CLIENT. The services will be resumed as soon as the money owed to the MARKETER is received in the MARKETER Account.
Price Commitment: The MARKETER does not offer any price commitment, because the CLIENT could end their commitment at any time. This means that no forward planning is possible, Secondly, fluctuating economic or political situations can influence the cost. Thirdly,  other factors may unavoidably cause cost increases.

 PAYMENT TERMS: The means of payment will be via bank transfer or credit card. The monthly fee for the SERVICES is due on the first day of each month. If the monthly fee is not paid by the end of the first working week of the month, the MARKETER may suspend the SERVICES until the fee is paid in full. There are no refunds for monthly fees that have already been paid. If the contract is terminated early, the MARKETER will not refund any of the monthly fees that have already been paid.

LIABILITY DISCLAIMER

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE BlueWing Internet Services and Website MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. BlueWing Local Marketing AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE BlueWing Internet Services and Website AT ANY TIME. ADVICE RECEIVED VIA THE BlueWing Internet Services and Website SHOULD NOT BE RELIED UPON FOR PERSONAL, MEDICAL, LEGAL OR FINANCIAL DECISIONS AND YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.

BlueWing Local Marketing AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE BlueWing Internet Services and Website FOR ANY PURPOSE. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. BlueWing Local Marketing AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BlueWing Local Marketing AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE BlueWing Internet Services and Website, WITH THE DELAY OR INABILITY TO USE THE BlueWing Internet Services and Website OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE BlueWing Internet Services and Website, OR OTHERWISE ARISING OUT OF THE USE OF THE BlueWing Internet Services and Website, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF BlueWing Local Marketing OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PART OF THE BlueWing Internet Services and Website, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE BlueWing Internet Services and Website.

TERMINATION/ACCESS RESTRICTION

BlueWing Local Marketing reserves the right, in its sole discretion, to terminate your access to the BlueWing Internet Services and Website and the related services or any portion thereof at any time, without notice. GENERAL To the maximum extent permitted by law, this agreement is governed by the laws of the State of Washington, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in San Mateo County, California, U.S.A. in all disputes arising out of or relating to the use of the BlueWing Internet Services and Website. Use of the BlueWing Internet Services and Website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and BlueWing Local Marketing as a result of this agreement or use of the BlueWing Internet Services and Website. BlueWing Local Marketing’s performance of this agreement is subject to existing laws and legal processes. Nothing contained in this agreement is in derogation of BlueWing Local Marketing’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the BlueWing Internet Services and Website, or information provided to or gathered by BlueWing Local Marketing with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and BlueWing Local Marketing concerning the BlueWing Internet Services and Website, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and BlueWing Local Marketing about the BlueWing Internet Services and Website. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.
